IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 14.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Crossed Paths AI LLC ("Company," "we," "us," "our"). By accessing or using the Service, you agree to these Terms, our Privacy Policy, and Cookie Policy.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Crossed Paths AI LLC is a platform that allows users to upload location data exports from various sources to analyze location patterns, identify crossed paths with other users, and generate insights. The Service processes sensitive personal location data.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

You agree to:

Provide accurate, current, and complete information
Maintain the security of your credentials
Accept responsibility for all activity under your account
Notify us immediately of unauthorized access

We may suspend or terminate accounts that violate these Terms.

5. User Data and Uploads

5.1 Your Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

All data you upload to the Service
Ensuring you have the legal right to upload such data
Ensuring uploaded data does not contain information about third parties without their consent
Maintaining backup copies of your data
The accuracy and legality of your data

5.2 Data You May Upload

The Service accepts location data exports including but not limited to Google Takeout, Facebook exports, Instagram exports, Uber/Lyft receipts, and similar location-enabled service exports.

5.3 Prohibited Uploads

You may not upload:

Data you do not own or have rights to
Data obtained through illegal means
Malicious code or files
Data that infringes third-party rights

5.4 License Grant

BY UPLOADING DATA TO THE SERVICE, YOU GRANT THE COMPANY A PERPETUAL, IRREVOCABLE, WORLDWIDE, ROYALTY-FREE, FULLY SUBLICENSABLE, AND TRANSFERABLE LICENSE TO:

Use, copy, store, modify, and process your data
Create derivative works and aggregate datasets
Analyze, commercialize, sell, license, and distribute aggregate or de-identified data
Use data for research, machine learning, product development, and any other lawful purpose

This license survives termination of your account and these Terms.

5.5 Acknowledgment of Sensitive Data

YOU ACKNOWLEDGE THAT:

Location data is highly sensitive personal information
You upload such data voluntarily and at your own risk
The Company makes no guarantees regarding data security
You accept all risks associated with uploading sensitive data

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
SECURITY
ACCURACY OR RELIABILITY
UNINTERRUPTED OR ERROR-FREE OPERATION

WE DO NOT WARRANT THAT:

The Service will meet your requirements
The Service will be secure, uninterrupted, or error-free
Data will be accurately processed or stored
Defects will be corrected
The Service is free of viruses or harmful components

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

7.1 No Liability for Damages

THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

Direct, indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, use, goodwill, or other intangible losses
Damages resulting from unauthorized access to or alteration of your data
Damages resulting from data breaches, hacks, or security incidents
Damages arising from third-party conduct
Any damages exceeding the amount you paid us in the 12 months preceding the claim (or $100 if no payment was made)

7.2 Specific Exclusions

WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR:

Data Breaches: Any unauthorized access, theft, loss, or disclosure of your data, regardless of cause
Hacking Incidents: Any malicious attacks on our systems
Third-Party Actions: Actions of hackers, bad actors, or any third parties
Data Loss: Loss or corruption of your uploaded data
System Failures: Technical failures, outages, or errors
User Misuse: Consequences of how you or others use the Service or data
Our Negligence: Even damages resulting from our negligence or gross negligence, to the extent permitted by law

7.3 Acknowledgment

YOU ACKNOWLEDGE THAT:

These limitations are fundamental to the agreement between us
The Service would not be provided without these limitations
You have independently evaluated the risks of using the Service

8. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS FROM ANY CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS' FEES) ARISING FROM:

Your use of the Service
Your uploaded data
Your violation of these Terms
Your violation of any third-party rights
Any claim that your data infringes or violates rights of others

9. Assumption of Risk

BY USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH:

Uploading sensitive location data to an online service
Potential data breaches or security incidents
Potential exposure or misuse of your data
Technical failures or data loss
Any other risks inherent in using internet-based services

10. Intellectual Property

10.1 Our Property

The Service, including its design, features, code, and content (excluding user data), is owned by the Company and protected by intellectual property laws.

10.2 User Data

Subject to the license grant in Section 5.4, you retain ownership of your raw uploaded data. However, any insights, analyses, aggregate data, or derivative works created by the Service belong to the Company.

11. Termination

11.1 By You

You may terminate your account at any time through account settings or by contacting us.

11.2 By Us

We may suspend or terminate your account at any time, for any reason, without notice.

11.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately
We may delete your account data (subject to legal retention requirements)
Our license to aggregate/de-identified data survives
Sections 5.4, 6, 7, 8, 9, 10, 14, and 15 survive termination

12. Modifications to Service and Terms

We may modify the Service or these Terms at any time. Continued use after modifications constitutes acceptance. Material changes will be notified via email or in-Service notice.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us and attempt to resolve disputes informally for at least 30 days.

14.2 Arbitration

ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Chicago, Illinois.

14.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US INDIVIDUALLY. YOU WAIVE ANY RIGHT TO:

Participate in class actions
Have disputes decided by a jury
Participate in class-wide arbitration

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement.

15. General Provisions

Entire Agreement: These Terms, Privacy Policy, and Cookie Policy constitute the entire agreement
Severability: Invalid provisions shall be modified to minimum extent necessary; remaining provisions remain in effect
No Waiver: Failure to enforce any provision is not a waiver
Assignment: You may not assign these Terms; we may assign freely
Force Majeure: We are not liable for failures due to circumstances beyond our control
